The Commonwealth Insurance Company, Inc. held a special Board of Directors meeting immediately following the special meeting of the KACo Finance Corporation Board of Directors at 8:00 a.m. on Thursday, December 16, 2021. This meeting was held at the KACo offices located at 400 Englewood Drive in Frankfort, Ky. and via video teleconference, in accordance with proper notice given in accordance with KRS 61.823, 61.826, 65.312(3) and 2020 Ky. Acts ch. 73 sec. 1(8)(b).
The roll was called. The following Directors participated by video teleconference: Chairman Bill Bartleman, McCracken Co. Commissioner; Sue Carole Perry, Shelby Co. Clerk; Amy Milliken, Warren County Attorney; Gary Moore, Boone Co. Judge/Executive; Reagan Taylor, Madison Co. Judge/Executive; Jim Henderson, President and Executive Director/CEO; and Grant Satterly, Chief Executive Officer and Director of Financial Services.
Others participating by video teleconference included: Temple Juett, Director of Insurance and Business; Tim Sturgill, General Counsel; Karen Basham, Chief Financial Officer; Lonnie Campbell, Assistant Director of Financial Services; Kelly Mittler, Finance Officer; B. J. White, Accounts Receivable Officer; Rich Ornstein, Staff Attorney; Roger Peterman, Board Counsel; R. J. Palmer, Compass Municipal Advisors, LLC; and Sonya Chesser, Executive Assistant to CEO/Director of Administrative Services.
Chairman Bartleman called the meeting to order at 8:48 a.m.
Motion made by Gary Moore, seconded by Sue Carole Perry, to approve the minutes of the September 16, 2021 meeting. Motion carried.
Mr. Juett requested approval of a resolution establishing the Plan of Dissolution of the Commonwealth Insurance Company.
Motion made by Amy Milliken, seconded by Reagan Taylor, to approve the Plan of Dissolution of the Commonwealth Insurance Company as presented. Motion carried.
Motion made by Reagan Taylor, seconded by Amy Milliken, to adjourn the meeting at 8:50 a.m. Motion carried.
